Terms of Service

By accessing or using SellMyBiz.us (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform. These Terms apply to all visitors, registered users, sellers, and buyers.

We reserve the right to update these Terms at any time. We will notify registered users of material changes by email. Continued use of the Platform following notice of changes constitutes your acceptance of the updated Terms.

SellMyBiz.us is a marketplace that enables business owners to list their businesses for sale and connect with prospective buyers. We are not a broker, advisor, or party to any transaction between buyers and sellers. We charge flat listing fees — no commission is taken on any sale.

You agree to use the Platform only for lawful purposes and in compliance with all applicable laws. You may not:

• Post false, misleading, or fraudulent listings.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to other user accounts or platform systems.
• Use the Platform for any purpose that is unlawful, harmful, or prohibited by these Terms.
• Scrape, crawl, or use automated means to access Platform content without our express written permission.

As a seller, you are solely responsible for the accuracy, completeness, and legality of your listing and all documents you upload to the Platform. By listing a business you represent and warrant that:

• You have the legal right to sell the business or are duly authorized to act on behalf of the owner.
• All financial information, revenue figures, and materials provided in your listing are accurate and not misleading.
• Your listing does not violate any applicable law, regulation, or third-party right including confidentiality obligations.

We reserve the right to reject, suspend, or remove any listing that we determine, in our sole discretion, violates these Terms or our listing standards. Listing fees are non-refundable once a listing has been reviewed and approved.

As a buyer, you agree that any information accessed through the Platform — including confidential financial documents made available after executing an NDA — is provided solely for the purpose of evaluating a potential acquisition. You agree not to:

• Share, reproduce, or distribute confidential listing materials with any third party without the seller's express consent.
• Use confidential information for any purpose other than evaluating the specific business listing to which the NDA applies.
• Make any representation to the seller or any third party regarding a potential purchase without a genuine intent to proceed.

Access to sensitive listing materials — including financial statements, tax returns, customer data summaries, and seller contact information — requires execution of a Non-Disclosure Agreement (“NDA”) through the Platform.

By submitting an NDA request and proceeding past the NDA gate, you enter into a legally binding confidentiality agreement with the seller. Breach of this agreement may result in legal action by the seller, removal from the Platform, and pursuit of available remedies under applicable law.

SellMyBiz.us maintains records of all executed NDAs and associated access logs. These records may be used as evidence in any dispute or legal proceeding related to unauthorized disclosure of confidential information.

Listing fees are charged at the time of listing submission and are processed securely through Stripe. All fees are stated in USD and are inclusive of any applicable taxes where required by law.

Refund policy: Listing fees are non-refundable once your listing has been reviewed and published. If your listing is rejected during the review process, you are entitled to a full refund. Refund requests must be submitted to support@sellmybiz.us within 7 days of the rejection notice.

SellMyBiz.us does not charge commissions on completed sales. Any fees associated with the sale itself — including legal, accounting, escrow, or transfer fees — are the sole responsibility of the buyer and seller.

All content on the Platform that is not submitted by users — including the SellMyBiz.us name, logo, design, software, and copy — is the property of SellMyBiz.us and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our proprietary content without express written permission.

By submitting content to the Platform (including listing descriptions, images, and documents), you grant SellMyBiz.us a limited, non-exclusive license to display and use that content solely to operate and promote the Platform. You retain ownership of your content.

SellMyBiz.us is a marketplace platform. We do not verify the accuracy of listing information, guarantee the completion of any transaction, or provide legal, financial, or tax advice. All transactions are conducted directly between buyers and sellers.

To the fullest extent permitted by applicable law, SellMyBiz.us and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the total fees paid by you to SellMyBiz.us in the 12 months preceding the claim.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
